1.1 Agreement to Terms

Welcome to Orii.ai ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the website located at www.orii.ai, including any subdomains, mobile applications, APIs, and related services (collectively, the "Platform"). • Neighborhood, demographic, and economic data dashboards;
• Educational content, reports, and research materials;
• Third-party data integrations and application programming interfaces (APIs).

Orii.ai is not a registered investment adviser, broker-dealer, real estate agent, financial planner, tax adviser, or legal counsel. The Company does not hold any license under securities laws, real estate laws, or financial services regulations in any jurisdiction unless explicitly stated.

Any data, metrics, estimates, projections, or analytics are derived from publicly available information, third-party data sources, and/or algorithmic models that may contain errors or inaccuracies. Past performance data does not guarantee future results. Real estate investments involve significant risk, including possible loss of your entire investment.

1.5 Account Registration

To access certain features, you may be required to create an account. You agree to:

• Provide accurate, truthful, current, and complete registration information;
• Maintain and promptly update your account information;
• Keep your account credentials (username and password) confidential and secure;
• Accept responsibility for all activities that occur under your account;

1.6 Subscription Plans and Fees

Orii.ai may offer free, freemium, and paid subscription plans. By subscribing to a paid plan:

• You authorize us (or our payment processor) to charge applicable fees on a recurring basis;
• Fees are charged in advance for the applicable billing period (monthly or annually);
• We reserve the right to modify pricing upon no less than 30 days' notice to existing subscribers.

1.7 Intellectual Property

All content on the Platform, including text, graphics, logos, software, data compilations, AI models, and algorithms (collectively, "Company Content"), is the exclusive property of Orii.ai or its licensors, protected by copyright, trademark, patent, and trade secret laws. You are granted a limited, non-exclusive, non-transferable, revocable license for personal or internal business use only. You may not:

• Copy, reproduce, distribute, or republish any Company Content without prior written permission;
• Modify, adapt, translate, reverse engineer, or disassemble any part of the Platform;
• Use automated means (bots, scrapers) to access or collect data from the Platform;
• Sell, sublicense, or commercially exploit Company Content without express written authorization.

1.8 User-Generated Content

If the Platform permits you to submit content ("User Content"), you retain ownership. However, by submitting, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your User Content in connection with the Platform. You represent that your User Content does not violate any third-party rights or applicable laws.

You agree not to use the Platform to:

1.13 Governing Law, Arbitration & Jurisdiction

These Terms are governed by the laws of the State of Delaware, United States. Any dispute shall first be subject to mandatory arbitration under the rules of the American Arbitration Association (AAA), except that either party may seek injunctive relief in a court of competent jurisdiction. You waive any right to participate in a class action. For EU/UK users, mandatory consumer protection rights remain unaffected.

1.14 International Users

Orii.ai operates globally. If you access the Platform from outside the United States, you are responsible for compliance with your local laws. For EU, UK, Canadian, and Australian users, additional statutory rights apply as described in the Privacy Policy.

1.15 Changes to Terms

We may modify these Terms at any time. Material changes will be communicated by posting updated Terms on the Platform and updating the "Last Updated" date. Continued use after changes constitutes acceptance.
